These terms govern your use of infra-layer.com. They do not govern any service we provide to a client, which is dealt with separately in a written agreement. If the two ever disagree, the written agreement wins.
The site is operated by InfraLayer Ltd, a company registered in England and Wales, company number 17345513, registered office 20 Wenlock Road, London N1 7GU. You can reach us at hello@infra-layer.com.
By using the site you accept these terms. If you do not accept them, please do not use it.
What this site is
The site describes what InfraLayer does and how our model works. It is information, not an offer, and nothing on it forms a contract. Submitting the enquiry form does not create any obligation on either of us. A relationship begins only when both sides sign a written agreement.
What this site is not
Nothing here is legal, tax, employment, immigration or financial advice, and it should not be relied on as any of those. Employment, tax and data protection obligations differ by country, by role and by circumstance, and they change. Take your own professional advice before making a decision.
Descriptions of our operating model, including how employment through our South African employer of record partner works, are given in good faith as a general description. They are not a statement of the terms that would apply to you, which depend on the agreements actually entered into.
Our role, stated plainly
InfraLayer provides employment and operating infrastructure. InfraLayer's South African employer of record partner is the legal employer of the people who work in a client's team. The client defines the roles, selects the people, and directs and manages their work, systems and output. Nothing on this site should be read as InfraLayer being the legal employer, or as InfraLayer managing a client's function or its operational output.
Accuracy
We take care to keep the site accurate and current, and we do not warrant that it is. Any figure we publish carries its source and the date it was published, so you can check it against the original. Where a source has since been updated, the original governs, not our summary of it.
We may change or remove anything on the site at any time without notice.
Availability
We would like the site to be available at all times and we do not guarantee that it will be. We may suspend it for maintenance or for any other reason. We are not liable for the site being unavailable.
Intellectual property
The content, design, code, structure and diagrams on this site belong to InfraLayer Ltd or are used with permission. You may read the site, print or download extracts for your own reference, and share links to it. You may not republish, sell, or use our material commercially, or present it as your own, without our written permission.
The InfraLayer name and logo are ours. Nothing here grants you a licence to use them.
Your use of the site
You agree not to use the site unlawfully, not to attempt to gain unauthorised access to it or to any system behind it, not to introduce anything malicious, and not to submit anyone else's personal data through the enquiry form without their knowledge.
We may restrict access to anyone who does.
What you send us
Do not send us confidential information through the enquiry form. If you do, we will treat it sensibly, and it is not covered by any confidentiality agreement until one exists. Do not send special category personal data, such as health or biometric information, at all.
How we handle what you do send is set out in our privacy policy.
Links to other sites
Where we link to another site, including a source for a figure we publish, we do so because it is useful. We do not control those sites and we are not responsible for their content or their privacy practices.
Liability
Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited.
Subject to that, we are not liable for any loss of profit, loss of business, business interruption, or loss of anticipated savings arising from your use of this site, and we are not liable for any indirect or consequential loss.
You use the information on this site at your own discretion and risk.
Governing law
These terms and any dispute arising from them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
Changes to these terms
We may update these terms. The version on this page at the time you use the site is the one that applies, and the date at the top tells you when it last changed.
